Mobile Application Terms of Use

Welcome to the United States Freight Exchange (US-FEX) mobile application ("App"). These Terms of Use ("Terms") govern your access to and use of the App, including all services and features provided through it.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

Your use of the App is subject to:

• These Terms of Use,
• The US-FEX Mobile Policy Statement,
• The US-FEX Privacy Policy, and
• Any other policies or guidelines made available through the App.

We reserve the right to update or modify these Terms at any time. Continued use of the App constitutes acceptance of the revised Terms.

2. Eligibility

To use the App, you must:

• Be at least 18 years old.
• Be authorized to act on behalf of your company (broker, carrier, driver, or shipper).
• Comply with all applicable laws and regulations.

By using the App, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

You may need to create an account to use certain features of the App. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential.
• Notify us immediately of any unauthorized use or security breach.

You are responsible for all activities that occur under your account.

4. License Grant

US-FEX grants you a limited, non-exclusive, non-transferable, and revocable license to:

• Download, install, and use the App solely for your internal business operations related to freight management.

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the App.
• Reverse engineer, decompile, or attempt to extract the App's source code.
• Use the App for any unlawful, harmful, or unauthorized purpose.

5. App Usage and Responsibilities

As a user, you agree to:

• Use the App in compliance with all applicable laws.
• Not interfere with or disrupt the App's functionality.
• Keep your device and app version updated for optimal performance and security.

You acknowledge that disabling certain features (e.g., location tracking) may limit App functionality.

6. Location Tracking

The App uses location data to provide shipment tracking and geofencing services. By using the App, you consent to the collection, use, and sharing of location data as described in our Mobile Policy Statement.

You can manage location settings through your mobile device, but essential features may not function properly if location tracking is disabled.

7. Intellectual Property Rights

All content, features, and functionality of the App — including but not limited to text, graphics, logos, icons, software, and data — are the exclusive property of US-FEX or its licensors and are protected by applicable intellectual property laws.

You may not use US-FEX trademarks, service marks, or trade dress without prior written permission.

8. Disclaimers and Limitation of Liability

The App is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law:

• US-FEX is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App.
• US-FEX does not guarantee the App will be error-free or uninterrupted.

9. Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, if you violate these Terms or engage in any conduct that disrupts our services.

Upon termination:

• Your license to use the App will immediately end.
• You must cease all use of the App and uninstall it from your devices.

10. Governing Law and Dispute Resolution
